Terms of Service

VerdictExchange operates an online marketplace where a person with a California personal injury claim ("Claimant") can submit information about that claim, and California-licensed attorneys ("Attorneys") can review anonymized case information and pay a flat fee to obtain the Claimant's contact information and the opportunity to offer representation.

VerdictExchange is not a law firm, is not a lawyer referral service certified under California Rule of Court 3.800 et seq., does not practice law, and does not provide legal advice, legal opinions, or case valuations.

Using this platform does not create an attorney-client relationship with VerdictExchange or with any Attorney. An attorney-client relationship is formed only when a Claimant and an Attorney sign a written retainer agreement directly with each other.

• You must be at least 18 years old, or the parent or legal guardian submitting on behalf of a minor.
• Claimants must be submitting a claim arising from an incident that occurred in California.
• Attorneys must hold an active, unrestricted license with the State Bar of California. We verify your bar number against the State Bar's public licensee records before activating your account, and we may re-verify at any time.
• Accounts may be suspended immediately if a license lapses, becomes inactive, or is subject to discipline.

Attorneys pay (a) a monthly subscription for access to the marketplace and (b) a flat, fixed fee per bid placed. These fees are for marketing and technology services — access to the platform, case intake infrastructure, AI-assisted organization of submitted materials, and delivery of claimant-provided contact information.

VerdictExchange takes 0% of any settlement, verdict, judgment, or attorney's fee. Fees are never contingent on the outcome, value, or existence of any recovery, and we do not share in any legal fee. This structure is intended to comply with California Rule of Professional Conduct 5.4 (no fee sharing with non-lawyers), Rule 7.2 (payment for advertising services), and California Business and Professions Code section 6152 (prohibition on capping and running).

Nothing on this platform is a recommendation, endorsement, vouching for, or certification of any Attorney. Claimants choose whether to speak with an Attorney and whether to retain one.

• You are solely responsible for your own compliance with the California Rules of Professional Conduct, including Rules 1.1, 1.4, 1.18 (duties to prospective clients), 5.4, 7.1, 7.2, and 7.3 (solicitation), and with the State Bar Act.
• You are solely responsible for running your own conflicts check before contacting any Claimant.
• You may contact a Claimant only through the channels the Claimant consented to, and you must honor any opt-out or do-not-contact request immediately.
• You must independently evaluate every claim. AI-generated scores, summaries, and estimated ranges shown on the platform are informational only and are not a substitute for your own professional judgment.
• You may not resell, re-broker, syndicate, or transfer claimant information obtained through the platform to any third party.
• You must keep claimant information confidential and secure, and treat it as information of a prospective client under Rule 1.18.
• You may not use the platform to solicit a Claimant you know is already represented by counsel.

• The information and documents you submit must be truthful, and you must have the right to submit them.
• You authorize VerdictExchange to show anonymized information about your claim to Attorneys on the platform, and to release your identifying and contact information to the Attorney who wins your listing.
• You understand that any quality score, estimated settlement range, or AI summary is an automated estimate, is not legal advice, and is not a prediction or guarantee of any outcome or amount.
• You are under no obligation to speak with or retain any Attorney, and you may withdraw your submission at any time before an Attorney obtains your contact information.
• You pay nothing. Claimants are never charged for using VerdictExchange.
• California has strict deadlines to file a claim (generally two years for personal injury under Code of Civil Procedure section 335.1, and as little as six months' notice for claims against public entities under Government Code section 911.2). Submitting a case here does not preserve, toll, or extend any deadline. Only an attorney you retain can protect your deadlines.

• Subscriptions bill monthly in advance and renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Per-bid fees are charged when a bid is placed and are non-refundable once a bid is placed, including if you are outbid.
• If a winning listing is voided by us because the underlying submission was fraudulent, duplicated, or materially misrepresented, we will refund the fees paid for that listing.
• Prices may change on 30 days' notice, effective at your next renewal.

• Submitting a claim you do not own or have not been authorized to submit.
• Submitting false, fabricated, altered, or fraudulent information or documents.
• Attempting to identify, contact, or circumvent the platform to reach a Claimant before winning that listing.
• Scraping, bulk-downloading, reverse engineering, or interfering with the platform.
• Any use that would cause either party to violate the State Bar Act, the California Rules of Professional Conduct, the Telephone Consumer Protection Act, or any other applicable law.

You keep ownership of everything you upload. You grant VerdictExchange a limited, non-exclusive license to host, store, process, and display your materials solely to operate the platform and deliver them to the Attorney who wins your listing. We may remove any content that we believe violates these Terms or the law.

The platform is provided "as is" and "as available." We make no warranty that a Claimant will receive any bid, be contacted, be offered representation, or obtain any recovery, and no warranty that an Attorney will obtain any case, client, or fee. To the fullest extent permitted by California law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by California law, VerdictExchange will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost cases, lost fees, or lost recovery. Our total aggregate liability arising out of or relating to the platform will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100). Nothing in these Terms limits liability that cannot be limited under California Civil Code section 1668.

You will indemnify and hold harmless VerdictExchange and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable attorney's fees) arising out of your use of the platform, your content, your communications with any other user, or your violation of these Terms or applicable law — including, for Attorneys, any claim arising from your representation of, or communications with, a Claimant.

These Terms are governed by the laws of the State of California, without regard to conflict of laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction and venue there.

Before filing, both parties agree to attempt to resolve the dispute informally by written notice and a 30-day good-faith discussion period.

We may modify these Terms and will post the updated version with a new "last updated" date; material changes take effect 30 days after posting. We may suspend or terminate any account at any time for violation of these Terms, loss of an active California license, or suspected fraud.
